We have advised and represented local and international investors providing venture financing to African software companies, and we have continued to support software companies on many software transactions, including software development, collaboration, software licensing, software assignment, software acquisition, and software maintenance. Our expertise encompasses supporting service providers that provide services on a subscription basis, including SaaS, PaaS, and IaaS. We have also supported software company clients on IP protection, corporate governance, and legal issues arising from employee claims to software ownership.
Selected Experience of the Team:
- Drafted and negotiated complex IT/software agreements and partnerships between clients, third-party suppliers, and vendors valued at approximately US$3B
- Advised a tier-1 Nigerian bank, on the procurement of its core banking technology software worth over $3m; drafted, negotiated, and reviewed contracts with global OEMs.
- Advised a tier-2 Nigerian bank on the renewal of its core banking technology software. Reviewed the already executed software licence agreement and advised the client on the legal implication of some specific issues identified by the bank;
- Led the expansion of tech companies to other African markets in record time; specifically, managed the establishment of subsidiaries in Ghana, Ivory Coast, Republic of Benin, Egypt, South Africa, and Kenya; negotiated and drafted contracts with local partners and service providers while also coordinating local counsel in each of these jurisdictions to ensure compliance with local regulations and laws.
